Columbine Manor Property Owners Association Bylaws

(As amended at the annual meeting held on June 22, 2008

Article I. Organization

Columbine Manor Property Association (CMPOA) is an organization voluntarily joined by members of the Columbine Manor community. The Association exists as a voluntary group dedicated to preserve, protect and promote the best interests of the Columbine Manor property owners The CMPOA fiscal year shall be March 1 through February 28/29. The Bylaws shall be available by request to any Association member.

Article II. Annual Dues

The Association requires membership fees to defray the costs associated with community improvements and preservation efforts as agreed upon by the members through their Board of Directors.

Article III. Annual Meeting

An annual meeting and election will be held in February each year with announcement of the date to be published in the prior edition of the CMPOA newsletter. The order of business at the annual meeting shall be as follows:

i. Call to Order

ii. Determination of a quorum (those present and a majority of the Board)

iii. Reports of officers and members-at-large

iv. Election of new Board members

v. Miscellaneous business

vi. Adjournment

Article IV. Elections

Elections for CMPOA Board members shall be held at the annual meeting. Board members shall serve for a term of two years.

Nominees must be resident property owners in Columbine Manor. Addition: (Adult residents such as husband and wife) may serve as co-directors with one representative from the team having one vote on any and all issues.) Names should be submitted to a Board member prior to the annual meeting. Additional nominations may come from the floor at the annual meeting. Any Board members whose term is expiring may be a nominee for election to a new term.

Each household shall have no more than two votes and no proxy voting shall be allowed. Those nominees receiving the most votes shall be deemed elected to the Board of Directors and will become Board members immediately. The new Board of Directors will elect officers at its first meeting.

Article V. Board of Directors

The CMPOA Board of Directors shall have a minimum of seven  Board members consisting of the following positions: President, Vice President, Secretary, Treasurer and the remainder being Members-At-Large. If a Board member misses three consecutive meetings, he or she shall show cause for continuation as a Board member. In the event of a Board member vacancy the Board may fill the vacated position as it sees fit.

Article VI. Expenditures by the Board

Expenditures of CMPOA funds by the Board shall be governed by the budget presented to the Association members at the annual meeting. Expenditures that are not specified in the budget, and that are less than $500.00, shall require a 2/3 (67%) majority vote by the Board. Expenditures that exceed, $500.00, and are not specified in the budget, shall be presented to CMPOA members either at the next regularly scheduled meeting or at a special meeting, with notice given as to the decision to be made regarding said funds. A majority (51%) vote of all members in attendance shall be required for approval.

 

Article VII. Open Meetings

Columbine Manor Property Owners are invited to attend meetings of the CMPOA Board of Directors. Community member are encouraged to contact Board members to obtain a meeting agenda or to suggest an item for a given month's agenda.

A majority of the Board of Directors shall constitute a quorum.

Extra meetings may be called by any community member to discuss issues of special interest affecting the Columbine Manor community. Appropriate action (e.g. flyers, phone calls) should be taken to notify the community of any special meetings. Board members attendance at special meetings is optional. The proceedings of such meetings must be provided to the Association Board.

Special committees/task force groups may be appointed by the Board as necessary to address issues affecting Columbine Manor residents. Special interest committee's final recommendations will be presented to the Columbine Manor community for approval prior to implementation.

Article VIII. Community Newsletter

The CMPOA newsletter shall publish a newsletter at least four times a year. The Board is responsible to see that delivery of said newsletter is made to all homes in the Columbine Manor neighborhood unless a property owner or resident requests not to receive newsletters, directories or other communications from CMPOA .

Article VIII. Amendments to Bylaws

Proposed amendments to, or deletions from, the Bylaws shall be submitted in writing to the Board of Directors. The Board shall make recommendations regarding proposed revisions at the annual meeting, and all CMPOA members present shall vote on whether to adopt said revisions.
